While we apply best practices and industry expertise, we cannot guarantee specific results from marketing campaigns or strategies. Performance depends on many factors beyond our control, including market conditions, competitive landscape, and execution.

Performance Expectations

Marketing results are influenced by numerous variables. We commit to applying professional standards and industry best practices, but cannot guarantee specific outcomes like revenue increases or cost reductions.

Professional Obligations

We will:

  • Provide services with professional competence
  • Maintain confidentiality of your business information
  • Act in your best interests within the scope of our engagement
  • Communicate clearly about project status and any issues that arise

Payment Terms

Fees and Billing

Service fees, payment schedules, and terms are specified in individual service agreements. Generally:

  • Consulting fees are billed monthly or per project milestone
  • Management fees are typically billed monthly in advance
  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges

Expenses

Advertising spend and third-party tool costs are separate from consulting fees and billed at cost unless otherwise agreed.

Limitation of Liability

Service Limitations

Our total liability for any claim related to our services is limited to the fees paid for the specific services that gave rise to the claim, not to exceed the total amount paid in the 12 months preceding the claim.

Consequential Damages

We are not liable for indirect, incidental, or consequential damages, including lost profits, lost revenue, or business interruption, even if we've been advised of the possibility of such damages.

Third-Party Services

We are not responsible for the performance, availability, or security of third-party platforms (Google Ads, Facebook, analytics tools, etc.) that we may recommend or use in delivering services.

Confidentiality

We treat all client information as confidential and will not disclose your business information, strategies, or performance data to third parties without your consent, except as required by law or to deliver agreed-upon services.

Termination

Service Termination

Either party may terminate consulting services with 30 days written notice. Specific termination terms may be outlined in individual service agreements.

Effect of Termination

Upon termination:

  • You remain responsible for fees incurred up to the termination date
  • We will provide reasonable assistance in transitioning services
  • Confidentiality obligations continue indefinitely
  • You retain ownership of any work product delivered and paid for

Dispute Resolution

Governing Law

These terms are governed by the laws of Canada and the province of Ontario. Any disputes will be resolved in the courts of Ontario, Canada.

Resolution Process

Before pursuing legal action, we encourage direct communication to resolve any issues. Most concerns can be addressed through professional discussion.

Changes to Terms

We may update these terms periodically. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the new terms.
